# Tokenize Your Holdings

### Overview

Own pre-IPO shares or an SPV position? Colb enables you to tokenize your existing holdings, whether you hold shares directly (such as employee equity) or through an SPV structure.

By tokenizing through Colb, you gain access to:

* **Liquidity** – Unlock value from illiquid private holdings
* **Transferability** – Move ownership onchain in a secure format
* **Competitive Pricing** – Access onchain secondary market rates
* [**Flexibility**](#user-content-fn-1)[^1] – Manage your position through Colb's infrastructure

***

### How It Works

#### SPV Holders

If you own or manage an SPV with exposure to pre-IPO shares, you can transfer ownership of the SPV to the Colb Trust. In exchange, the Trust issues you tokens representing the economic value of the underlying position.

#### Direct Shareholders

If you hold shares directly, for example as an employee, equity tokenization works the same way. Note that direct share transfers typically require company approval (such as ROFR waiver or board consent), which Colb can help facilitate.
